Terms of Use

Introduction

Welcome to Global Natural Health Solutions (“GNHS”). These Terms of Use (“Terms”) govern your access to and use of GNHS’s services, websites, and applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

Please read these Terms carefully. They cover important information about services provided to you and any charges, taxes, and fees we bill you. These Terms also include information about future changes to these Terms, limitations of liability, a class action waiver, and resolution of disputes by arbitration instead of in court.

Acceptance of Terms

By accessing or using the services provided by GNHS, you, the User, agree to be bound by these Terms of Use. These Terms of Use govern your access to and use of the services offered by GNHS. Your agreement to these Terms of Use constitutes a legally binding contract between you and GNHS under Delaware law. If you do not agree to these Terms of Use, you must not access or use the services.

Description of Service

GNHS offers various holistic, homeopathic and wellness related services and content through its website and mobile applications (collectively, the “Services”). These services may include, but are not limited to, wellness information, personalized content, interactive tools, and related resources. The Service is designed to support, not replace, the relationship that exists between a User and their provider.

The Service Provider reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Users agree that the Service Provider shall not be liable to User or to any third party for any modification, suspension, or discontinuance of the Service.

User Account, Password, and Security

Upon completion of the service registration process, the User will receive a unique user identification (“User ID”) and password. The User agrees to maintain the confidentiality of their User ID and password and is fully responsible for all activities that occur under their account. The User agrees to (a) immediately notify GNHS of any unauthorized use of their account or any other breach of security, and (b) ensure that they exit from their account at the end of each session. GNHS cannot and will not be liable for any loss or damage arising from the User’s failure to comply with this section.

User Conduct

This User Conduct clause governs the behavior and responsibilities of the User (“User” or “You”) while accessing or using the services provided by GNHS. By accessing or using the services, You agree to comply with the following conduct requirements:

  • You shall not use the services for any unlawful purposes or in any manner that violates applicable local, state, federal, or international laws or regulations.
  • You shall not upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • You shall not impersonate any person or entity, including, but not limited to, a GNHS official, or falsely state or otherwise misrepresent Your affiliation with a person or entity.
  • You shall not forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the service.
  • You shall not interfere with or disrupt the service or servers or networks connected to the service, or disobey any requirements, procedures, policies, or regulations of networks connected to the service.
  • You shall not intentionally or unintentionally violate any applicable local, state, federal, or international law, including, but not limited to, regulations promulgated by any securities exchange.
  • You are responsible for maintaining the confidentiality of Your User ID and for all activities that occur under Your account.
  • You shall not use the service for any commercial purposes without the express written consent of GNHS.

Violation of any of these conditions may result in termination of Your access to the services and may expose You to civil and/or criminal liability.

Content Ownership and Copyright

This Agreement is entered into by and between GNHS and the User of GNHS’s services. By accessing or using the services provided by GNHS, the User agrees to be bound by the terms of this Agreement.

All content provided on or through the services, including but not limited to text, graphics, logos, images, as well as the compilation thereof, and any software used on the site, is the property of GNHS or its suppliers and protected by copyright and other intellectual property laws of the State of Delaware and international copyright laws.

The User may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the content, in whole or in part, without the prior written consent of GNHS. Any unauthorized use of the content may violate copyright, trademark, and other laws. GNHS and its suppliers reserve all rights not expressly granted in and to the content and the services.

The User acknowledges that all content accessed by the User using the services is at the User’s own risk and the User will be solely responsible for any damage or loss to the User or any other party resulting from such access or use. The User agrees to comply with all copyright laws and to respect the copyright, trademarks, and other intellectual property rights of GNHS and others.

Third-Party Links and Content

This Agreement permits users (“Users”) to access various third-party websites, resources, and content (“Third-Party Content”) through the services provided by GNHS. GNHS does not control, endorse, or assume responsibility for any Third-Party Content, including but not limited to the accuracy, privacy policies, or practices of any third-party websites or services. Users agree to directly assume all risks arising from the use of any Third-Party Content accessed through the Services.

Users acknowledge that GNHS may not have reviewed all Third-Party Content made available through the Services and that the inclusion of such content does not imply endorsement or recommendation by GNHS. Users agree to comply with all terms and conditions applicable to the use of Third-Party Content and to indemnify and hold GNHS harmless from any claims arising from or related to their use of Third- Party Content.

Termination and Access Restriction

GNHS reserves the right, in its sole discretion, to terminate your access to the GNHS website and the related services or any portion thereof at any time, without notice, for any reason whatsoever. GNHS further reserves the right to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice at any time. You agree that GNHS shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the service.

You acknowledge and agree that GNHS may, without prior notice, immediately terminate, limit your access to or suspend your User ID, any associated email address, and access to the GNHS services. Cause for such termination, limitation of access, or suspension shall include, but not be limited to, (a) breaches or violations of the Terms of Use or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the service (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and (h) nonpayment of any fees owed by you in connection with the GNHS services.

Upon termination or suspension, regardless of the reasons therefore, your right to use the services available on the GNHS website immediately ceases, and you acknowledge and agree that GNHS may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the GNHS service. GNHS shall not be liable to you or any third- party for any claims or damages arising out of any termination or suspension or any other actions taken by GNHS in connection therewith. As applicable, if GNHS terminates or suspends your account for any of the reasons set forth above, GNHS reserves the right not to refund any prepaid fees or other amounts to you.

Disclaimer of Warranties

GNHS PROVIDES ITS SERVICES “AS IS” AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED, OR STATUTORY. GNHS SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

GNHS does not warrant that the services provided will be uninterrupted, timely, secure, or error-free, or that defects will be corrected. GNHS does not warrant the accuracy or completeness of any information, text, graphics, links, or other items contained within its services. GNHS may make changes to the content of its services or to the products described therein, at any time without notice. GNHS makes no commitment to update the information contained in its services.

Limitation of Liability

To the fullest extent permitted by law, GNHS shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if GNHS has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; or (v) any other matter relating to the service.

Notwithstanding any damages that the User might incur for any reason whatsoever (including, without limitation, all damages referenced above and all direct or general damages), the liability of GNHS and any of its suppliers under any provision of this Terms of Use and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you through the service or $100, whichever is greater. The foregoing limitations, exclusions, and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpose.

Indemnification

The User (“Indemnifying Party”) agrees to indemnify, defend, and hold harmless Global Natural Health Solutions (GNHS) (“Indemnified Party”), its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees, that are incurred by Indemnified Party arising out of or relating to any claim, suit, action, or proceeding (collectively, “Claims”) attributable to any breach of the Terms of Use by the Indemnifying Party or User’s use of the services provided by GNHS, including but not limited to, any infringement of intellectual property rights of any third party.

This indemnification clause will survive the termination or expiration of the Terms of Use and the User’s discontinuation of the use of GNHS’s services.

Amendment of Terms

GNHS reserves the right, at its sole discretion, to modify or replace any part of these Terms of Use at any time without prior notice. Users will be notified of any changes to the Terms of Use through postings on GNHS’s website or through other reasonable means of communication. Continued use of the services provided by GNHS after any such changes constitutes acceptance of the new Terms of Use.

It is the responsibility of the User to check the Terms of Use periodically for changes. The date of the last modification will be posted at the top of the Terms of Use. If a User disagrees with the changes, the User must cease using GNHS’s services immediately.

Governing Law and Jurisdiction

This Agreement and any disputes arising out of or related to the services provided by GNHS or the use thereof by the User shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflict of law’s provisions. By using the services, User agrees that any legal action or proceeding between GNHS and User for any purpose concerning this Agreement or the parties’ obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in Delaware.

Both GNHS and User hereby submit to the jurisdiction of such courts and waive any right to challenge the jurisdiction or venue of such courts. This provision shall not prevent GNHS from seeking injunctive relief in any jurisdiction in the event of infringement of intellectual property rights or breach of confidentiality obligations by the User.

Dispute Resolution

This Dispute Resolution clause applies to any disputes arising out of or in connection with the Terms of Use between GNHS, as the Service Provider, and the User. Both parties agree to first attempt to resolve any disputes amicably through informal negotiation. If the dispute cannot be resolved informally within sixty (60) days, the parties agree to binding arbitration to be conducted in Delaware, in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties. If the parties cannot agree on an arbitrator, one will be appointed in accordance with the American Arbitration Association rules. The decision of the arbitrator shall be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Notwithstanding the above, both parties retain the right to seek injunctive relief in a court of competent jurisdiction in Delaware to prevent an imminent breach of these Terms of Use or to address issues related to intellectual property rights.

Miscellaneous

This Terms of Use Agreement and any disputes arising out of or related to the services provided by GNHS to the User shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any legal actions, suits or proceedings arising out of this Agreement (including, but not limited to, any disputes regarding the interpretation or enforcement of any provision of this Agreement) shall be brought exclusively in the federal or state courts located in Delaware. Both parties hereby consent to the exclusive jurisdiction of such courts and waive any objection to the propriety or convenience of such venues.

Should any provision of this Agreement be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision, and this Agreement shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

GNHS may assign this Agreement, in whole or in part, at any time with or without notice to the User. The User may not assign, transfer, or sublicense any of his/her rights or obligations under this Agreement without the express written consent of GNHS.

This Agreement constitutes the entire agreement between the User and GNHS regarding the use of the services, superseding any prior agreements between the User and GNHS relating to the User’s use of the services.
